This Non-Disclosure Agreement ("Agreement") is made between [Party A Name] and [Party B Name] (together, the "Parties"), in connection with [Purpose — e.g. "discussions regarding a potential business partnership"].

1. Confidential Information
"Confidential Information" means any business, technical, or financial information disclosed by either Party that is marked confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.

2. Exclusions
